1. Definitions
Company / We / Us: Coldroom Solution Ltd, registered in England & Wales (Company No. 15766077).
Customer / You: Any individual or business purchasing goods through our website.
Goods: Any products listed for sale on our website.
Contract: A legally binding agreement formed once an order is accepted by us.

3. Scope of These Terms
These Terms apply to all use of coldroomsolution.co.uk, including browsing, ordering, communication, and any transactions completed through the website.
By using the website or placing an order, you confirm acceptance of these Terms.
4. Use of the Website & Intellectual Property
You must use the website lawfully and not interfere with its operation, security, or accessibility.
All content on coldroomsolution.co.uk, including text, product information, diagrams, and technical descriptions, is the intellectual property of Coldroom Solution Ltd unless otherwise stated.
All images used on our website are either:
- owned by Coldroom Solution Ltd,
- created exclusively for our brand, or
- used with permission from the manufacturer or rights holder
Unauthorised copying, downloading, republishing, or re-use of these images—whether on websites, marketplaces, print materials, or any digital medium—may constitute infringement of copyright, design rights, or licensing terms.
We reserve the right to request immediate removal of unauthorised use and, where necessary, take appropriate legal action to protect our rights.
We enforce these rights proportionately and always aim to resolve matters amicably before escalation.
You may not use automated tools (scrapers, bots) to extract website content.
5. Product Information & Accuracy
Product descriptions, images, and technical specifications are provided for guidance and may vary within standard manufacturing tolerances.
The Customer is responsible for confirming suitability and verifying measurements prior to ordering.
Any technical advice provided by us is general and must not replace professional assessment where required.
6. Ordering Process
Orders are placed through our website and become binding once payment is completed and an order confirmation is issued.
You are responsible for ensuring all details (measurements, product type, configuration) are correct before completing the order.
We may cancel or decline an order where necessary, including but not limited to:
- stock unavailability
- pricing or listing errors
- safety or regulatory concerns
- suspected fraudulent activity
If an order is cancelled by us, you will be refunded in full.
Custom-made and bespoke items enter production immediately and cannot be changed or cancelled once confirmed.
7. Pricing, VAT & Payment
Coldroom Solution Ltd is a VAT-registered company.
All prices displayed on our website are shown as VAT-excluded by default for transparency and accuracy in trade and commercial quotations.
A VAT toggle switch is provided on product pages to display prices including VAT, allowing customers to quickly view both figures for easier calculations.
VAT is applied at checkout in accordance with UK tax law.
Payment must be completed in full before dispatch. We accept the payment methods shown at checkout.
We may update prices at any time; however, confirmed orders will not be adjusted.
8. Delivery, Risk & Ownership
Delivery dates are estimates and may vary depending on stock, transport availability, and location.
Risk in the goods transfers upon delivery to the Customer or their representative.
Ownership transfers only after full payment has been received.
The Customer must ensure adequate access for delivery and provide suitable manpower for unloading where required (e.g., coldroom panels, doors, large equipment).
Delivery refusals or failed delivery attempts may incur re-delivery charges.
9. Returns & Refunds
Customers may return eligible items within 14 calendar days of the delivery date should they decide not to retain the goods.
Returned goods must be unused, unopened, uninstalled, and in their original packaging and condition.
Coldroom Solution Ltd reserves the right to apply a restocking fee of up to 25% of the item value for any goods returned that are not defective or incorrectly supplied.
Goods that are returned in a non-saleable condition, used, or damaged through mishandling may not qualify for a refund.
10. Non-Returnable and Non-Refundable Goods
The following items are non-returnable and non-refundable, except where proven faulty under statutory rights:
- Made-to-measure or bespoke doors and accessories
- Coldroom panels
- Custom-made trims and flashings
- Made-to-measure PVC strip curtains
- Special-order controllers, transformers, and heater mats
- Goods manufactured, customised, or assembled to customer specification
- Any product clearly personalised or non-standard
11. Damaged or Faulty Goods
Any transit damage must be reported within 24 hours of delivery with photographs.
Faulty items will be inspected and, if confirmed defective, replaced or refunded.
Some refrigeration units may require manufacturer testing or diagnostic reports before a decision is made.
Failure to report damage within the specified timeframe may limit available remedies.
12. Cancellations
Orders may be cancelled within 14 days unless they are custom-made or bespoke.
Refunds are issued once goods are received and inspected.
Refunds will be processed within 7–14 business days to the original payment method.
13. Warranty & Claims
13.1 Warranty Scope
We warrant that the Goods supplied to you:
13.1.1 Conform to their description as stated on our order acknowledgement; and
13.1.2 Are free from material defects in workmanship and materials at the time of delivery, provided you comply with clause 13.5.
13.2
All Goods, including condensing units, evaporator units, mono-block units and other refrigeration equipment, are supplied subject to the manufacturer’s warranty terms applicable to each individual product. Warranty periods vary between products and manufacturers. Unless stated otherwise in writing, all warranty periods commence from the date of invoice.
13.3
Where Goods are covered by a manufacturer’s warranty, those warranty terms shall apply in addition to, or instead of, our own warranty. Our liability is strictly limited to the benefit we may recover from the manufacturer (see clause 13.14).
13.4 Conditions for Warranty Validity
Warranty is valid only where:
13.4.1 The Purchaser provides proof of purchase (invoice or delivery note).
13.4.2 Goods have been correctly installed, commissioned (where required), and used in accordance with the manufacturer’s instructions and industry standards.
13.4.3 Goods have been properly maintained, serviced and stored.
13.4.4 Goods have not been altered, tampered with, or repaired by unauthorised persons.
13.4.5 The defect is not caused by misuse, neglect, accident, improper installation, environmental issues, incorrect power supply, or fair wear and tear.
13.5 Notification & Investigation of Defects
If you believe any Goods are defective:
13.5.1 You must notify us in writing, with full details, within 7 days of becoming aware of the fault (or 14 days where stated in the manufacturer’s terms).
13.5.2 You must allow us and/or the manufacturer reasonable facilities to investigate the claim, including access to your premises.
13.5.3 We may require the Goods to be returned to us or the manufacturer at your cost for inspection.
13.5.4 A fully completed warranty claim form or site report must accompany returned Goods.
13.6 Temporary Replacement During Investigation
13.6.1 We may, at our discretion, issue replacement Goods while a claim is being investigated.
13.6.2 You must pay for the replacement Goods in full.
13.6.3 If the original Goods are found not to be defective, you must accept their return and pay for them in full.
13.6.4 If the warranty claim is approved, we will credit or refund the cost of the replacement unit (excluding labour, installation, commissioning, or interim-use charges unless agreed in writing).
13.7 Warranty Remedies
If Goods are confirmed defective and you have complied with this Section:
13.7.1 We may, at our discretion, or at the discretion of the manufacturer:
- Repair the Goods; or
- Replace the Goods; or
- Credit or refund the invoice value of the Goods.
13.7.2 Any repair or replacement will be subject to the manufacturer’s warranty instructions and approval.
13.8 Returns Under Warranty
13.8.1 You must pay the cost of sending Goods to us.
13.8.2 We will pay the cost of returning repaired or replacement Goods to addresses within Great Britain.
13.8.3 Returned Goods must be free of external equipment and sealed against contamination.
13.8.4 Compressors must be returned with appropriate electrical components fitted.
13.8.5 Goods must be returned within 21 days of the fault occurring.
13.9 Repairs Not Covered by Warranty
13.9.1 Repair quotations exclude VAT unless otherwise stated.
13.9.2 Quotations remain valid for 30 days.
13.9.3 Delivery to and from us is excluded unless otherwise stated.
13.9.4 If Goods are irreparable and not requested to be returned, we may dispose of them after 28 days’ written notice without liability.
13.9.5 An inspection fee applies but may be waived if you proceed with the repair.
13.10 Warranty Exclusions
The warranty does not cover:
- Fair wear and tear
- Misuse, negligence, or improper operation
- Incorrect installation
- Lack of maintenance or servicing
- Damage from environmental factors, incorrect power supply, or accidental damage
- Consumable items (e.g. filters, gaskets)
- Any costs of removal, re-installation, labour, transport or associated expenses unless agreed in writing
- Goods not paid for in full
13.11 Limitation of Liability
13.11.1 The Goods supplied are manufactured by third-party manufacturers. We are not the manufacturer and do not provide any guarantee beyond that supplied by the manufacturer.
13.11.2 Coldroom Solution Ltd shall not be liable for: (a) loss of profit, loss of business, loss of revenue or loss of use; (b) business interruption or downtime; (c) any loss or damage to stock, goods or perishable items stored within any cold room or refrigeration system; (d) any loss or damage to surrounding property, buildings, fixtures, fittings or equipment; (e) indirect, special or consequential loss; (f) losses arising from misuse, improper installation, lack of maintenance, or operation outside manufacturer specifications.
13.11.3 Coldroom Solution Ltd shall not be held liable for any failure of the Goods to operate, nor for any destruction or damage caused to surrounding property or stored goods. You acknowledge that we do not insure against losses arising from product failure, and we recommend that you maintain appropriate insurance.
13.11.4 Where a claim relates to a potential manufacturing defect, we will refer the matter to the manufacturer for investigation and will pass on to you any remedy, refund or compensation received.
13.11.5 For all other liabilities not expressly excluded, our total liability shall be limited to: (a) the price paid for the Goods; or (b) any amount actually recovered from the manufacturer, whichever is greater.
13.12 Non-Excludable Liabilities
Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) liability under section 2(3) Consumer Protection Act 1987; (d) any matter for which exclusion would be unlawful.
13.13 Representations & Advice
13.13.1 No employee or agent is authorised to make representations regarding the Goods unless confirmed in writing.
13.13.2 Any verbal advice or recommendations are followed at your own risk unless confirmed in writing.
13.14 Statutory Rights
Where Goods are sold under a consumer transaction, statutory rights are not affected.
13.15 Non-Transferable Warranty
The warranty applies only to the original Purchaser and cannot be transferred without our prior written consent.
14. Customer Responsibilities
Customers must:
- verify suitability, measurements, and specifications before ordering
- ensure the delivery site is accessible and safe for unloading
- follow installation and safety requirements
- store goods appropriately before installation
15. Technical Guidance Disclaimer
Any guidance provided by Coldroom Solution Ltd is general.
We are not liable if goods are unsuitable for a specific or non-standard application unless confirmed by us in writing.
16. Limitation of Liability
To the fullest extent permitted by UK law:
- We are not liable for consequential, indirect, or business losses.
- Our liability is limited to the value of the goods purchased.
Nothing in these Terms excludes liability for death or personal injury caused by negligence or affects statutory consumer rights.
17. Events Outside Our Control
We are not responsible for delays or failure to perform obligations caused by events beyond our reasonable control, including shortages, transport delays, extreme weather, or supplier issues.
18. Intellectual Property
All website content, including text, images, diagrams, product data, and branding, is protected by copyright and may not be copied or used without our permission.
19. Changes to These Terms
We may update these Terms periodically. The version displayed on the website at the time of purchase applies to that order.
20. Governing Law & Jurisdiction
These Terms are governed by the laws of England & Wales.
Any disputes will be handled exclusively in the courts of England & Wales.
